Y-POS and Your Contracting Entity
Y-POS is a mobile-first point-of-sale, payments and business-management platform operating internationally through companies associated with the Y-POS brand. Y-POS GROUP LIMITED, Company No. 17453439, is the UK holding and investment company established for the Y-POS business. Where a provision applies only to a particular country or region, that provision applies only to users established in that jurisdiction.
Y-POS Services
Y-POS provides software and platform services that may include:
- Tap to Pay and contactless payment functionality;
- card and digital-wallet payments;
- Payment Links;
- QR payments;
- transaction management and digital receipts;
- refunds and tipping functionality;
- appointments and scheduling;
- inventory and product management;
- customer management;
- staff and team management;
- sales reporting and analytics;
- AI-powered business insights; and
- other functionality made available through the Y-POS application.
Our Tap to Pay service enables eligible users to accept contactless payments using NFC-compatible iPhone and Android devices through payment technology provided by Stripe. Availability of individual features may depend on your country, device, account status, payment provider and Y-POS pricing or subscription plan.
Stripe Connect and Payment Services
Y-POS uses Stripe Connect to provide access to payment processing and related payment services. When you activate payment functionality, a Stripe Connected Account may be created for you or connected to Y-POS. Your use of Stripe payment services is also governed by the applicable Stripe Connected Account Agreement, Stripe Services Agreement and other applicable Stripe terms for your country. By activating Stripe-powered payment functionality through Y-POS, you:
- authorise Y-POS to create, configure and manage your Stripe Connected Account to the
extent necessary to provide the Y-POS Services;
- authorise Y-POS and Stripe to exchange information relating to your identity, business,
account and transactions where necessary to provide payment services, comply with law, prevent fraud and manage risk;
- authorise Y-POS to submit instructions and perform permitted activities on your Connected
Account through Stripe Connect;
- agree to provide accurate and complete information required by Y-POS and Stripe; and
- agree to comply with applicable Stripe agreements and payment-network rules.
Stripe provides the underlying regulated payment services. Y-POS does not operate as a bank and does not itself hold end-customer payment funds.
Eligibility
To use Y-POS you must:
- be at least 18 years old;
- operate a legitimate business, sole trade, freelance activity or other permitted commercial
activity;
- provide accurate and complete information;
- satisfy applicable Y-POS and Stripe verification requirements;
- use compatible devices and software; and
- comply with applicable local laws, regulations and payment-network requirements.
Y-POS and/or Stripe may determine that particular businesses, activities, transactions or users are not eligible for some or all payment services.
Account Registration and Verification
You must register for a Y-POS account and provide accurate, current and complete information. You are responsible for maintaining the confidentiality of your credentials and for activity conducted through your account. Y-POS, Stripe or our verification providers may require you to complete identity or business verification. We may request information or documentation concerning:
- your identity;
- your business;
- beneficial ownership or control;
- business or residential address;
- bank account;
- source or nature of transactions; and
- other information reasonably required for regulatory, compliance, fraud-prevention or risk
purposes. Accepted proof of address may include:
- bank statements with transaction history;
- council tax bills;
- government letters, including HMRC, DWP or NHS correspondence;
- electoral-roll related documents; or
- equivalent documentation available in your jurisdiction.
Documents must be clear, genuine and unedited. Where applicable, documents must have been issued within the previous six months and the name must correspond with the information registered on your account. Failure to complete required verification may result in restrictions, delayed payouts, suspension or termination. Failure to successfully complete identity verification within 3 attempts may result in account suspension or additional verification requirements.
Fees and Charges
You agree to pay all applicable fees relating to your use of Y-POS. Fees will be disclosed during onboarding, displayed within the Y-POS application, published on our website or otherwise communicated to you before they apply. Fees may vary depending on:
- country;
- pricing or subscription plan;
- payment method;
- card type;
- transaction type;
- payout method; and
- additional Y-POS services selected.
Where Y-POS charges platform or service fees through Stripe Connect, you authorise Stripe to deduct those fees from your Connected Account balance where permitted.
Payouts
Payout availability, timing and method depend on eligibility, account status, payment-provider requirements, verification and risk assessment. Standard and Instant Payout functionality may not be available to every user. Y-POS and/or Stripe may delay, restrict or suspend payouts where reasonably necessary because of:
- verification requirements;
- suspected fraud;
- disputes or chargebacks;
- negative balances;
- regulatory requirements;
- payment-network requirements;
- sanctions or financial-crime checks; or
- risk associated with the account or transactions.
Any estimated payout timing displayed by Y-POS is not a guarantee where processing is affected by Stripe, financial institutions, payment networks, compliance reviews or circumstances outside Y- POS’s reasonable control. The provisions of Section 16 (Fund Holding & Refund Policy) apply to funds that are restricted or held.
Refunds, Disputes and Chargebacks
Refunds, reversals, disputes and chargebacks relating to Stripe-processed transactions are handled through Stripe and applicable payment networks. You are responsible for legitimate refunds, disputes, chargebacks, negative balances and other amounts associated with transactions processed through your Connected Account, except where applicable law or your agreement with Stripe provides otherwise. Y-POS may assist with administration of refunds and disputes through its Stripe Connect integration. Any user found intentionally triggering chargebacks, facilitating fraud or attempting to manipulate payment or dispute systems may have their account permanently suspended or terminated. Y-POS cooperates with Stripe, payment providers, financial institutions and law-enforcement authorities where appropriate in connection with suspected fraud or payment disputes.
Acceptable Use and Merchant Eligibility
Y-POS is intended for legitimate businesses, sole traders, freelancers and other permitted commercial activities. You must not use Y-POS:
- for fraudulent, deceptive or unlawful activity;
- to process unauthorised transactions;
- to process transactions unrelated to your declared business;
- to process transactions on behalf of an undisclosed third party;
- to circumvent Stripe, Y-POS or payment-network restrictions;
- to interfere with the security or operation of Y-POS or Stripe;
- to provide false or misleading information;
- for prohibited or restricted businesses unless expressly approved; or
- in any manner that violates applicable law or Stripe requirements.
Y-POS does not support prohibited or restricted activities including, where applicable, high-risk investments, adult services, unlicensed pharmaceuticals, gambling and similar activities unless expressly permitted by Y-POS, Stripe and applicable law. Failure to disclose the true nature of your business may result in suspension or account closure.
User Responsibilities
You are responsible for:
- providing accurate and timely information;
- keeping your account information current;
- the goods and services you sell;
- your relationship with your customers;
- the accuracy of transaction information;
- taxes applicable to your business;
- refunds and customer obligations;
- compliance with laws applicable to your business; and
- ensuring employees and authorised users use Y-POS appropriately.
Delay in providing requested documentation may delay account activation or payouts.
Account and Device Security
You are responsible for keeping your Y-POS credentials, devices and access methods secure. You must promptly notify Y-POS if you believe:
- your account has been compromised;
- an unauthorised person has accessed your account;
- your device containing access to Y-POS has been lost or stolen; or
- fraudulent activity has occurred.
While we employ industry-standard safeguards, you acknowledge that no electronic system can be guaranteed to be entirely secure.
Technical Requirements
To use Y-POS you must have:
- a compatible iPhone or Android device;
- NFC functionality where required;
- a supported operating system;
- a stable internet connection; and
- the latest supported version of the Y-POS application.
Technical requirements may change as Y-POS, Stripe, Apple, Google or other relevant technology providers update their systems.
Suspension and Termination
Y-POS may restrict, suspend or terminate your account or access to some or all Y-POS Services where reasonably necessary, including where:
- these Terms are breached;
- verification cannot be completed;
- fraudulent, deceptive or unlawful activity is suspected;
- your business activity differs materially from the activity disclosed during registration;
- Stripe restricts or terminates payment services;
- continued use creates material financial, regulatory, security or reputational risk;
- payment-network requirements require restriction; or
- suspension or termination is required by law or a competent authority.
Where reasonably practicable and legally permitted, suspended users will receive guidance concerning available steps to restore access. Termination of Y-POS access does not remove outstanding obligations relating to transactions, refunds, disputes, chargebacks, fees or negative balances.
Direct Debit Authorization
Where Direct Debit is available and you opt into it:
14.1. You authorise applicable debits from your nominated bank account.
14.2. You must ensure sufficient funds are available. Fees resulting from failed attempts are your
responsibility where permitted by applicable law.
14.3. Failed transactions may be retried within 1–2 business days.
14.4. If a debit causes an overdraft, related bank fees are your responsibility.
14.5. You will be notified 2 business days prior to debit, where applicable and required.
14.6. You may cancel the authorisation by notifying us and your bank, subject to amounts already
due and applicable Direct Debit rules. Direct Debit availability, procedures and statutory protections may vary by jurisdiction.
Anti-Money Laundering, Fraud and Compliance
Y-POS is committed to compliance with applicable anti-money laundering, sanctions, fraud- prevention and financial-crime requirements relevant to its operations. Transactions and accounts may be monitored for suspicious activity. Y-POS, Stripe and applicable verification providers may request additional information or documentation at any time where reasonably required for:
- identity or business verification;
- fraud prevention;
- sanctions screening;
- AML compliance;
- transaction monitoring;
- payment-network compliance; or
- risk management.
Suspicious activity may be reported to competent authorities where required or permitted by applicable law.
Fund Holding & Refund Policy
16.1. Funds may be held if verification is pending or documents fail checks.
16.2. Holding period: up to 120 days or until a dispute arises.
16.3. If no verification is completed and no dispute filed, funds return to the original payer.
16.4. If a dispute is raised, funds remain on hold until resolution.
16.5. Stripe-Managed Refunds. All refunds, reversals, or fund returns are processed automatically
by the applicable Stripe entity in accordance with Visa, Mastercard, American Express and other relevant payment-network rules. Y-POS does not process or hold end-customer funds directly. When an account is closed due to fraudulent, misrepresented, or unverifiable business activity, associated transactions are returned to the original payer through Stripe’s refund mechanism. Y-POS reserves the right to withhold service fees or risk-related costs associated with fraud investigation and compliance review, where permitted by applicable law and payment-provider rules.
Data Protection and Identity Verification
Y-POS processes personal information in accordance with its Privacy Policy and applicable data- protection laws. For UK operations, CODERS TEAM LIMITED processes personal information in accordance with applicable UK data-protection requirements, including the UK GDPR and Data Protection Act 2018. For EU/EEA operations, YPOSY OÜ processes personal information in accordance with applicable EU data-protection requirements, including the GDPR where applicable. For US operations, CODERS TEAM, INC. processes personal information subject to applicable US privacy and data-protection requirements. Y-POS may use Onfido and/or other approved third-party identity-verification providers to process verification information, which may include:
- identification documents;
- facial verification;
- biometric information where applicable;
- address documentation; and
- verification results.
Y-POS operating companies may have access to verification results and supporting information where necessary for compliance, fraud prevention, risk management and audit purposes. Further information about personal-data processing, service providers, retention and data-subject rights is contained in the Y-POS Privacy Policy.
Intellectual Property
Y-POS software, branding, trademarks, designs, content and related intellectual property belong to Y-POS, the relevant rights holder or its licensors. These Terms grant you a limited, non-exclusive and non-transferable right to use Y-POS for legitimate business purposes in accordance with these Terms. You may not, except where expressly permitted by law or authorised by Y-POS:
- copy or reproduce Y-POS software;
- reverse engineer the service;
- attempt to access source code;
- resell or sublicense Y-POS;
- misuse Y-POS branding or intellectual property; or
- commercially exploit the platform outside its intended purpose.
Service Availability and Changes
Y-POS may update, modify, improve, add or remove functionality from time to time. We do not guarantee uninterrupted availability of every Y-POS feature. Y-POS is not responsible for interruptions resulting from Stripe, banks, payment networks, telecommunications providers, Apple, Google, app stores or other infrastructure outside our reasonable control.
Limitation of Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful. To the maximum extent permitted by applicable law, Y-POS, the applicable Y-POS operating company and Y-POS GROUP LIMITED will not be liable for indirect, incidental, special or consequential damages, including loss of profits, loss of business, loss of opportunity or loss arising from circumstances outside their reasonable control. Y-POS is not responsible for losses resulting solely from decisions, restrictions, outages or actions taken by Stripe, payment networks, financial institutions or other third-party providers outside Y- POS's reasonable control. Any mandatory rights available under applicable law remain unaffected.
Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Y-POS, the applicable Y-POS operating company and Y-POS GROUP LIMITED against third-party claims, losses and reasonable costs arising directly from:
- your fraudulent or unlawful activity;
- your material breach of these Terms;
- your misuse of Y-POS;
- goods or services supplied by your business; or
- misuse of Y-POS by persons you have authorised to access your account.
Harassment, Abuse and Misconduct
Y-POS maintains a zero-tolerance policy toward harassment, abusive behaviour, intimidation, threats, unlawful coercion, defamation or deliberate attempts to unlawfully interfere with Y-POS, its employees, operating companies, partners or other users. This may include:
- harassing or threatening Y-POS staff through email, chat, telephone or social media;
- publishing knowingly false or defamatory statements;
- coordinated unlawful attempts to damage Y-POS operations;
- using threats, intimidation or unlawful pressure to influence payment or compliance reviews;
- knowingly making false accusations to Y-POS partners or customers; or
- attempting to intimidate or coerce Y-POS staff.
Serious violations may result in:
- account restriction or termination;
- blocking access to Y-POS services;
- reporting relevant conduct to Stripe, financial institutions or competent authorities where
appropriate;
- restriction of payouts or transactions where permitted by Stripe rules, payment-network
rules or applicable law; and
- legal action where appropriate.
Nothing in this section prevents a user from making a legitimate complaint, disputing a Y- POS decision, contacting a regulator or law-enforcement authority, obtaining legal advice, exercising a statutory right, or publishing statements or opinions otherwise protected by applicable law.
Changes to These Terms
Y-POS may revise these Terms from time to time, including to reflect:
- changes to Y-POS Services;
- changes to payment-provider requirements;
- changes to applicable laws or regulations;
- security or risk requirements; or
- changes to Y-POS business operations.
Updated Terms become effective when published or on another effective date communicated to users. Where required by applicable law, reasonable notice will be provided for material changes. Continued use of Y-POS after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.
Governing Law and Regional Terms
24.1 United Kingdom If your business is established in the United Kingdom, your Y-POS contracting entity is: CODERS TEAM LIMITED These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales, subject to mandatory rights that cannot lawfully be excluded. Stripe payment services are subject to the applicable Stripe agreements for UK Connected Accounts. 24.2 European Union / EEA If your business is established in the European Union or EEA, your Y-POS contracting entity is: YPOSY OÜ Stripe payment services are subject to the applicable Stripe agreements for your Connected Account country. Applicable mandatory rights and payment, privacy and data-protection requirements may vary according to the country in which your business is established.
